These Terms of Service govern your access to and use of Tokrava, a crypto asset exchange platform operated by FLUXPAY FINANCIAL LTD.

By accessing or using Tokrava, you agree to these Terms. If you do not agree, you must not access or use Tokrava.

1. Company Information

FLUXPAY FINANCIAL LTD. is registered as a Canadian Money Services Business. MSB registration does not mean that any regulator approves, guarantees, endorses, or recommends Tokrava, FLUXPAY FINANCIAL LTD., any crypto asset, or any transaction made through the platform.

2. Our Services

Tokrava provides crypto asset exchange services on a self-custody basis.

Subject to availability, eligibility, and compliance approval, Tokrava may allow clients to:

  • Buy supported crypto assets;
  • Sell supported crypto assets;
  • Exchange supported crypto assets;
  • Submit external wallet addresses for compliance review;
  • Complete AML/KYC verification;
  • Complete sanctions, fraud, wallet-risk, and transaction-monitoring checks;
  • Request other services that Tokrava may make available from time to time.

Tokrava may change, suspend, restrict, or discontinue any service at any time.

3. Self-Custody and No Wallet Services

Tokrava does not provide hosted wallets, custodial wallets, omnibus wallets, wallet addresses, private-key custody, recovery phrase storage, staking custody, asset safekeeping, or wallet-management services.

You are solely responsible for:

  • Holding and managing your own crypto wallet;
  • Safeguarding your private keys and recovery phrases;
  • Securing your devices, email accounts, passwords, and two-factor authentication methods;
  • Verifying wallet addresses before every transaction;
  • Selecting the correct blockchain network;
  • Including any required memo, destination tag, or payment reference;
  • Understanding the risks of blockchain transactions.

Providing a wallet address to Tokrava does not mean that Tokrava controls, holds, manages, or takes custody of your crypto assets.

Blockchain transactions may be irreversible. If you send crypto assets to the wrong address, wrong network, unsupported wallet, incorrect memo, or incorrect destination, your assets may be permanently lost.

4. Eligibility

You may use Tokrava only if:

  • You are at least 18 years old;
  • You have legal capacity to enter into these Terms;
  • Your use of Tokrava is lawful in your jurisdiction;
  • You are not subject to sanctions;
  • You are not located in a prohibited or restricted jurisdiction;
  • You are not using Tokrava for or on behalf of another person unless approved by Tokrava;
  • You successfully complete all required AML/KYC, sanctions, fraud, wallet-risk, and compliance checks;
  • You comply with these Terms and all applicable laws.

Tokrava may refuse onboarding or restrict access at its discretion, including where legal, regulatory, AML, sanctions, fraud, wallet-risk, or operational concerns arise.

5. EU / EEA Client-Initiated Access

Tokrava does not actively market, promote, advertise, solicit, recommend, induce, or target its services to persons located in the European Union or European Economic Area.

If you are located in the EU or EEA, you may only request access to Tokrava where you contact Tokrava at your own exclusive initiative, without solicitation, advertising, promotion, recommendation, targeted communication, affiliate referral, or inducement by Tokrava or any person acting on Tokrava’s behalf.

Tokrava may require you to complete a client-initiated access declaration and may request information showing how you became aware of Tokrava and why you contacted Tokrava.

Tokrava may refuse, restrict, suspend, or terminate access if Tokrava determines that:

  • Your contact was not made at your own exclusive initiative;
  • Tokrava is not permitted to provide the requested service in your jurisdiction;
  • You fail AML/KYC, sanctions, wallet-screening, or transaction-monitoring checks;
  • You provide false, incomplete, or misleading information;
  • You present legal, regulatory, AML, sanctions, fraud, or operational risk.

EU MiCA reverse-solicitation rules are narrow: ESMA has stated that third-country crypto firms may provide services only where the client is the exclusive initiator, and firms must not use reverse solicitation to circumvent MiCA authorisation requirements. (ESMA)

Nothing in these Terms, on the website, or in any communication should be interpreted as Tokrava actively soliciting, promoting, advertising, recommending, or offering services to persons in the EU or EEA.

6. No Investment, Legal, Tax, or Financial Advice

Tokrava does not provide investment advice, financial advice, legal advice, tax advice, accounting advice, portfolio management, trading recommendations, or personalised investment recommendations.

Any information provided by Tokrava is for general informational and operational purposes only.

You are solely responsible for deciding whether to buy, sell, hold, exchange, send, or receive any crypto asset. You should obtain independent professional advice where appropriate.

7. Crypto Asset Risk Warning

Crypto assets are high-risk and may not be suitable for all clients.

By using Tokrava, you understand and accept that:

  • Crypto asset prices may be highly volatile;
  • You may lose all or part of your funds;
  • Crypto assets may become illiquid or worthless;
  • Blockchain transactions may be irreversible;
  • Crypto assets may be affected by forks, network failures, cyberattacks, protocol changes, smart contract bugs, liquidity problems, regulatory changes, and market manipulation;
  • Stablecoins may lose their peg or become unavailable;
  • Crypto assets are not bank deposits;
  • Crypto assets may not be protected by deposit insurance, investor compensation schemes, or government guarantees;
  • Tokrava does not guarantee price, liquidity, execution, availability, or future performance.

You use Tokrava at your own risk.

8. Account Registration

To use Tokrava, you may be required to create an account and provide information requested by Tokrava.

You agree that all information you provide is true, accurate, complete, current, and not misleading.

You must promptly update Tokrava if your information changes.

You are responsible for maintaining the confidentiality and security of your login credentials. You must notify Tokrava immediately if you suspect unauthorised access, fraud, compromise, or misuse of your account.

Tokrava may suspend or restrict your account if it suspects unauthorised access, identity misuse, fraud, security compromise, or violation of these Terms.

9. AML, KYC, Sanctions, and Compliance Checks

Tokrava may require identity verification, document verification, liveness checks, biometric checks where permitted, proof of address, source of funds information, source of wealth information, business information, beneficial ownership information, and other documents or information.

Tokrava may screen clients, beneficial owners, authorised users, wallets, counterparties, and transactions against sanctions lists, watchlists, politically exposed person databases, adverse media sources, fraud databases, blockchain analytics tools, and other compliance systems.

FINTRAC guidance for MSBs requires identity verification in several situations, including suspicious transactions, large virtual currency transactions, transfers or exchanges of virtual currency equivalent to CAD $1,000 or more, and large virtual currency transactions equivalent to CAD $10,000 or more. You agree to provide all information and documents requested by Tokrava. If you do not provide requested information, Tokrava may refuse onboarding, delay transactions, restrict services, suspend your account, close your account, or report activity where required or permitted by law.

10. Wallet Screening and Transaction Monitoring

Although Tokrava does not custody client crypto assets, Tokrava may screen external wallet addresses, transaction hashes, blockchain activity, counterparties, and transaction patterns.

Tokrava may use internal and third-party tools to identify risk indicators, including:

  • Sanctions exposure;
  • Terrorist financing risk;
  • Darknet market exposure;
  • Mixers or tumblers;
  • Ransomware;
  • Scams or fraud;
  • Stolen funds;
  • High-risk exchanges;
  • Unusual transaction patterns;
  • Structuring or threshold avoidance;
  • Third-party wallet use;
  • Rapid movement of funds;
  • Activity inconsistent with your stated profile.

Tokrava may delay, reject, block, cancel, review, or report a transaction where risk indicators are identified.

11. Source of Funds and Third-Party Funds

You must use only lawful funds and crypto assets.

Tokrava may require you to explain or document the source of funds, source of wealth, purpose of transaction, business activity, wallet ownership, and relationship with any third party.

You must not use Tokrava to process funds or crypto assets belonging to another person unless Tokrava has expressly approved this in writing.

Tokrava may reject or delay transactions involving third-party funds, unexplained funds, suspicious funds, high-risk wallets, or inconsistent activity.

12. Prohibited Use

You must not use Tokrava for any illegal, fraudulent, deceptive, abusive, or prohibited activity.

Prohibited activities include:

  • Money laundering;
  • Terrorist financing;
  • Sanctions evasion;
  • Fraud or scams;
  • Cybercrime;
  • Ransomware;
  • Darknet market activity;
  • Human trafficking;
  • Child exploitation;
  • Weapons trafficking;
  • Illegal gambling;
  • Controlled substances;
  • Tax evasion;
  • Market manipulation;
  • Insider dealing;
  • Stolen funds;
  • Identity theft;
  • Use of forged, stolen, or misleading documents;
  • Use of third-party accounts, wallets, or funds without approval;
  • Circumventing Tokrava’s compliance controls;
  • Structuring transactions to avoid limits, monitoring, or reporting;
  • Any activity prohibited by applicable law.

Tokrava may suspend, restrict, or terminate your account if it suspects prohibited use.

13. Sanctions

You must not use Tokrava if you are subject to sanctions or if you are acting for or on behalf of a sanctioned person, entity, wallet, country, organisation, or network.

You must not use Tokrava for any transaction involving sanctioned persons, sanctioned entities, sanctioned jurisdictions, sanctioned wallets, or sanctions evasion.

Tokrava may freeze, block, reject, or report activity where required or permitted by sanctions laws or compliance controls.

14. Transaction Requests

All transaction requests are subject to Tokrava’s review, availability, pricing, compliance checks, wallet screening, blockchain network status, liquidity, and operational controls.

Tokrava is not required to accept or complete any transaction request.

Tokrava may delay, reject, cancel, or restrict a transaction if:

  • You fail verification;
  • You fail to provide requested information;
  • Wallet screening identifies risk;
  • Sanctions or AML concerns arise;
  • Fraud is suspected;
  • The transaction appears unusual or inconsistent with your profile;
  • The relevant blockchain network is congested, unavailable, or unsupported;
  • The asset, network, or payment method is unavailable;
  • The transaction may violate applicable law;
  • Tokrava determines that processing the transaction creates risk.

15. Prices, Quotes, Fees, and Execution

Prices, quotes, rates, spreads, and fees may change at any time.

Any quote provided by Tokrava may be time-limited and may expire. A transaction is not final until Tokrava confirms acceptance and completion.

You are responsible for reviewing all transaction details before confirming a transaction, including:

  • Asset;
  • Amount;
  • Exchange rate;
  • Fees;
  • Network;
  • Wallet address;
  • Memo, tag, or reference;
  • Total cost;
  • Expected delivery method;
  • Risk warnings.

Tokrava may charge fees, spreads, network fees, administrative fees, compliance review fees, or other applicable charges. Fees will be disclosed where applicable before completion or as otherwise permitted by law.

16. Blockchain Networks and Delays

Tokrava is not responsible for blockchain network congestion, delays, failures, forks, outages, fee spikes, smart contract issues, protocol changes, validator issues, miner issues, or third-party infrastructure failures.

Transaction timing may depend on blockchain confirmations, network conditions, compliance checks, payment processing, liquidity, banking partners, and operational procedures.

Tokrava does not guarantee that any transaction will be completed within a specific timeframe.

17. User Errors

You are solely responsible for checking transaction details before submitting or confirming any transaction.

Tokrava is not responsible for losses caused by:

  • Incorrect wallet addresses;
  • Wrong blockchain networks;
  • Missing or incorrect memo, tag, or reference;
  • Unsupported assets;
  • Unsupported wallets;
  • User device compromise;
  • User email compromise;
  • Loss of private keys;
  • Loss of recovery phrases;
  • Account takeover caused by user negligence;
  • Instructions submitted by you or through your account.

Where technically and legally possible, Tokrava may try to assist, but Tokrava has no obligation to recover assets lost due to user error.

18. No Custody and No Fiduciary Relationship

Tokrava does not act as your custodian, trustee, fiduciary, broker, investment adviser, portfolio manager, securities dealer, bank, wallet provider, or safekeeping provider.

Nothing in these Terms creates a fiduciary, advisory, partnership, joint venture, employment, agency, or trust relationship between you and Tokrava.

19. Taxes

You are solely responsible for determining, reporting, and paying any taxes, duties, levies, or charges that apply to your use of Tokrava or to any crypto asset transaction.

Tokrava does not provide tax advice.

Tokrava may collect, report, retain, or disclose tax-related information where required or permitted by law.

20. Privacy and Personal Data

Tokrava collects, uses, stores, shares, and protects personal data in accordance with its Privacy Policy.

By using Tokrava, you consent to the collection and processing of information required for account operation, identity verification, AML/KYC, sanctions screening, fraud prevention, wallet screening, transaction monitoring, legal compliance, security, and service delivery.

Tokrava may share information with identity verification providers, blockchain analytics providers, transaction monitoring providers, payment processors, banking partners, technology providers, legal advisers, auditors, regulators, law enforcement, financial intelligence units, and other parties where required or permitted by law.

21. Intellectual Property

All content on Tokrava, including text, logos, designs, graphics, software, databases, interfaces, trademarks, trade names, and other materials, is owned by or licensed to Tokrava or FLUXPAY FINANCIAL LTD.

You may not copy, modify, reproduce, distribute, sell, lease, reverse engineer, scrape, or exploit any part of Tokrava without written permission.

22. Acceptable Use of the Website

You must not:

  • Interfere with Tokrava’s systems;
  • Attempt unauthorised access;
  • Introduce malware or harmful code;
  • Scrape or harvest data;
  • Bypass security controls;
  • Bypass compliance controls;
  • Use bots or automated tools without approval;
  • Misrepresent your identity;
  • Impersonate another person;
  • Use Tokrava in a way that harms Tokrava, clients, partners, or third parties.

Tokrava may block, restrict, or terminate access for misuse.

23. Third-Party Services

Tokrava may rely on third-party providers, including verification providers, blockchain analytics providers, payment processors, banks, liquidity providers, cloud providers, communication providers, and compliance tools.

Tokrava is not responsible for the acts, omissions, delays, outages, errors, losses, insolvency, data breaches, or failures of third-party providers, except where liability cannot be excluded by law.

Your use of third-party services may be subject to additional terms and privacy policies.

24. Account Suspension and Termination

Tokrava may suspend, restrict, freeze, close, or terminate your account or access to services at any time where Tokrava determines that:

  • You breached these Terms;
  • You provided false, incomplete, or misleading information;
  • You failed AML/KYC checks;
  • You failed sanctions or wallet-risk screening;
  • You refused to provide requested documents;
  • You engaged in suspicious or prohibited activity;
  • You created legal, regulatory, fraud, sanctions, AML, security, or operational risk;
  • Tokrava is required or permitted to do so by law;
  • Tokrava decides to discontinue services.

Where permitted, Tokrava may provide notice. However, Tokrava may act without notice where required for security, legal, AML, sanctions, fraud-prevention, or regulatory reasons.

25. Reporting and Cooperation with Authorities

Tokrava may report suspicious activity, attempted suspicious activity, sanctions concerns, fraud, cybercrime, tax concerns, or other unlawful activity to relevant authorities where required or permitted by law.

Tokrava may cooperate with regulators, law enforcement, courts, financial intelligence units, banking partners, payment partners, and compliance service providers.

Tokrava may be legally restricted from telling you that a report has been filed or that an investigation is taking place.

26. Disclaimers

Tokrava is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Tokrava makes no warranty that:

  • The platform will be uninterrupted, secure, or error-free;
  • Any transaction will be completed;
  • Any crypto asset will be available;
  • Prices or quotes will remain unchanged;
  • Information will always be accurate or complete;
  • Any blockchain transaction will be confirmed;
  • Any crypto asset will retain value;
  • Any third-party provider will perform as expected.

You use Tokrava at your own risk.

27. Limitation of Liability

To the maximum extent permitted by law, Tokrava, FLUXPAY FINANCIAL LTD., its directors, officers, employees, contractors, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or loss-of-profit damages.

This includes losses arising from:

  • Crypto asset price changes;
  • Blockchain errors or delays;
  • User error;
  • Incorrect wallet addresses;
  • Wrong networks;
  • Lost private keys or recovery phrases;
  • Account compromise;
  • Fraud by third parties;
  • Third-party provider failure;
  • Regulatory changes;
  • Suspensions, restrictions, or rejected transactions;
  • Market volatility;
  • Liquidity shortages;
  • Cyberattacks;
  • Force majeure events.

Nothing in these Terms limits liability where such limitation is prohibited by law.

28. Indemnity

You agree to indemnify and hold harmless Tokrava, FLUXPAY FINANCIAL LTD., its directors, officers, employees, contractors, agents, affiliates, and service providers from any claims, losses, damages, liabilities, costs, and expenses arising from:

  • Your breach of these Terms;
  • Your violation of law;
  • Your misuse of Tokrava;
  • Your false, incomplete, or misleading information;
  • Your wallet activity;
  • Your tax obligations;
  • Your use of third-party wallets;
  • Your involvement in prohibited activity;
  • Any claim by a third party relating to your use of Tokrava.

29. Complaints

You may submit complaints to:

Please include your full name, account email, transaction reference if applicable, description of the issue, supporting documents, and your requested resolution.

Tokrava will review complaints in a fair and reasonable manner, but submitting a complaint does not prevent Tokrava from applying AML, sanctions, fraud-prevention, security, or legal controls.

30. Changes to These Terms

Tokrava may update these Terms at any time.

The updated Terms will be posted on the website with a revised “Last updated” date.

Your continued use of Tokrava after changes become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using Tokrava.

31. Governing Law

These Terms are governed by the laws of [Insert Canadian province / territory] and the applicable federal laws of Canada, unless mandatory consumer protection or other laws require otherwise.

You and Tokrava agree that disputes will be handled by the courts of [Insert province / territory], unless applicable law requires another forum.

32. Severability

33. No Waiver

If Tokrava does not enforce a right under these Terms, this does not mean Tokrava waives that right.

34. Assignment

You may not assign or transfer your rights or obligations under these Terms without Tokrava’s prior written consent.

Tokrava may assign or transfer its rights and obligations as part of a merger, acquisition, restructuring, sale of assets, corporate transaction, or legal reorganisation.

35. No Investment, Financial, Legal, or Tax Advice

Tokrava and FLUXPAY FINANCIAL LTD. do not provide investment, financial, legal, tax, or accounting advice. Any information made available through the platform, website, customer support, or communications is provided for general informational purposes only and should not be relied upon as professional advice. Users should consult their own professional advisors before making any financial or digital asset-related decisions.

36. Entire Agreement

These Terms, together with Tokrava’s Privacy Policy, AML/KYC Policy, Cookie Policy, Risk Disclosure, Prohibited Use Policy, and any transaction-specific terms, form the entire agreement between you and Tokrava regarding your use of the platform.
